Terms of Use - Content Submission Agreement You must be at least 18 years of age and you must accept this Agreement if You want to submit User Content to Imation/Memorex. This is a legally binding Agreement between You and Imation/Memorex. Please read this document very carefully before You agree. "You" means the person that submits User Content to Imation/Memorex through the Site. If You are a business, "You" means the legal entity of Your business. "Imation/Memorex" means Imation Enterprises Corp., Memorex Products, Inc. and their affiliates. "User Content" means Your name and all visual images, video, audio, text, recordings, graphics, visual effects and all other intellectual property that You submit to Imation/Memorex. Any modification of the User Content will also be considered to be User Content, regardless of who makes the modification, except that Imation/Memorex may not modify Your name. "Site" means the web site or other technology made available by Imation/Memorex for submission of User Content. "Agreement" means this Terms of Use - Content Submission Agreement. 1. This Agreement is a supplement to the Terms of Use for the Site. 2. You agree that Imation/Memorex may reproduce, publish and use the User Content that You submit to Imation/Memorex. Among other things, Imation/Memorex may do the following: * Reproduce and display any of the User Content on the Site * Reproduce and display any of the User Content on any other web site * Reproduce and display any of the User Content on any package, label, brochure, advertisement or other publication * Modify the User Content* Publish Your name in connection with the User Content* Grant any or all of these rights to the distributors, retailers and other business partners of Imation/Memorex 3. The rights which You grant to Imation/Memorex are perpetual - You will not be able to revoke or withdraw the rights which You have granted. 4. The rights which You grant to Imation/Memorex are non-exclusive - You may grant these same or similar rights to others. 5. The rights which You grant to Imation/Memorex are royalty-free - Imation/Memorex will not ever make any payment to You for any of the following: * Any of the rights which You have granted to Imation/Memorex* Any reproduction, publication or other use of any of the User Content * Any costs which You have incurred to develop or submit any of the User Content 6. Imation/Memorex may refuse to publish any User Content. Imation/Memorex may remove any User Content from the Site, any other web site, or any other publi cation at any time for any reason. 7. You must not submit to Imation/Memorex any personally identifiable information about any child under the age of 13. 8. You make the following commitments, promises and representations to Imation/Memorex: * For each item of User Content which You submit, You have all rights necessary for You to grant the permissions which are granted to Imation/Memorex in this Agreement. (In other words, You either created the User Content; or you own all copyrights and other intellectual property rights in the User Content; or You have the authorization of the person who does own those rights.) * Any person depicted in any drawing, photo, video or other image contained in the User Content has consented to the depiction. * You have fully complied with any third-party licenses relating to the User Content. * You are at least 18 years of age. * Any information which You provide to Imation/Memorex is complete and accurate. * The User Content does not contain or install any virus, worm, spyware, malware, or Trojan horse. The User Content does not contain or install any code which would, without the user's express knowledge and content, remove or disable any security, anti-spyware or anti-virus technology. The User Content does not contain any other harmful or destructive content. * The User Content is not obscene; is not racially or ethnically objectionable; is not libelous or defamatory; does not violate the privacy or publicity rights of any person; and does not violate any law. 9. You agree that You will not submit duplicate editions of any User Content to Imation/Memorex under a different name. 10. Imation/Memorex may change the terms and conditions of this Agreement at any time by posting a revised Agreement or other revised Terms of Use on the Site. Your continued submission of User Content after posting of any changes will constitute Your acceptance of these changes. 11. You agree to indemnify, defend and hold Imation/Memorex and its successors, assigns and agents harmless from any demand, claim, liability, expense, cost, or damage (including reasonable attorneys' fees) which may arise from or in connection with any failure by You to abide by any of the terms of this Agreement or any breach of any representation by You under the terms of this Agreement.
